MASTER PATIENT SERVICES AND CARE AGREEMENT

1. Care Model, Entity Structure, & Relationship of Parties
Contracting Medical Practice and DBA
This Agreement is between you (the “Patient” or “you”) and Precision Specialty Care, PLLC, a Texas professional limited liability company doing business as Vanpoint Health (“PSC,” “Vanpoint Health,” “we,” “us,” or “our”). Vanpoint Health is a trade name of PSC and is not a separate legal entity.
All medical, administrative, technology-enabled, coordination, scheduling, platform, and payment services described in this Agreement are offered by or on behalf of PSC under the Vanpoint Health name. Your physician–patient relationship exists solely with PSC and your treating physician.
The use of the Vanpoint Health name, website, portal, platform, communications, or branding does not create a contract or relationship with a separate Vanpoint Health entity. References in this Agreement to the “Vanpoint Health platform” mean the digital systems PSC uses to deliver and support its services.
This model is not designed for continuous on-demand physician access, real-time communication, emergency management, or unlimited medical messaging.
How Care Is Delivered
Care is delivered through a structured, asynchronous digital model:
You submit medical history, images, and relevant information
Your physician reviews this information during scheduled case reviews
You receive written recommendations and treatment plans
Medical evaluation and treatment decisions occur primarily through structured asynchronous case reviews.
This model does not include:
Live visits (in-person, video, or phone)
Real-time or same-day responses
Unscheduled or on-demand medical evaluations
2. Use of Technology & Artificial Intelligence
To support care delivery and operational efficiency, Vanpoint Health may use software tools, automation systems, and artificial intelligence (“AI”).
AI and automated tools may assist with administrative organization, workflow, and documentation, but they do not replace physician judgment.
How Technology Is Used
These tools may assist with:
Organizing and summarizing information
Supporting workflow and documentation
Improving operational efficiency
Role & Limitations of AI
AI and automated systems:
Do not diagnose medical conditions
Do not create treatment plans
Do not prescribe medications
All clinical decisions are made solely by licensed physicians through Precision Specialty Care, PLLC.
Acknowledgment of Limitations
You acknowledge and agree that:
Technology and AI outputs may contain errors, omissions, or inaccuracies
Physicians may accept, reject, or modify any system-generated information
AI-generated content is not medical advice and should not be relied upon as such
Artificial intelligence, automation systems, and technology-assisted workflows may be utilized operationally to support documentation, organization, triage, communication, administrative processing, and clinical workflow efficiency.
Artificial intelligence systems do not independently diagnose conditions, prescribe medications, or replace clinical physician judgment
All final clinical decisions remain under physician supervision and clinical authority.
3. Digital Care Model & Limitations
This care model provides structured, physician-led digital care and includes inherent limitations.

No physical examination is performed
No real-time interaction is provided
Clinical decisions are based solely on submitted information
Limitations of This Model
You understand that:
Diagnostic accuracy may be limited without in-person evaluation
Some conditions may not be appropriate for digital care
Subtle or serious findings may not be detectable
Delays between submission and review may impact care
Your Acknowledgment
By participating, you acknowledge and agree that:
These limitations are inherent to the digital care model
They may affect diagnosis, treatment, and outcomes
In-person evaluation may be necessary in some cases
These limitations are inherent to the model and do not, by themselves, constitute negligence, abandonment, or failure to provide care
4. Scope of Services
Included Services
The following services are provided as part of this care model:
Structured case reviews conducted by a physician
Written treatment plans and clinical recommendations
Medication selection, adjustment, and management during scheduled reviews
Longitudinal care planning for chronic conditions
All clinical services are provided exclusively by Precision Specialty Care, PLLC.
Excluded Services
The following are not included in this care model:
Emergency or urgent medical care
Real-time consultations or immediate medical advice
One-time or episodic consultations
Unscheduled or on-demand medical evaluations
Review or interpretation of information outside structured processes
Management of conditions outside the defined scope of care
Insurance coverage decisions, appeals, or reimbursement support
Your Acknowledgment
You acknowledge that any services not expressly listed as included are not part of this care model.
5. Time-Limited Care & Enrollment
Care is provided exclusively during an active, paid enrollment period as defined by your selected care plan.
Enrollment Terms
You acknowledge and agree that:
Each care plan has a defined start and end date
Access to clinical services—including case review, treatment recommendations, prescription management, and follow-up—is limited to the active enrollment period
Physician time, clinical capacity, and administrative resources are allocated in advance based on enrollment, regardless of utilization
Expiration, completion, or non-renewal of an enrollment period terminates the active care relationship, unless otherwise determined by the treating physician.
This model provides structured, time-bound care and does not offer continuous, on-demand, or open-ended access.
Continuation of Care
Ongoing management of chronic or complex conditions typically requires continuous enrollment.
Re-enrollment is not guaranteed and may require reassessment of clinical appropriateness, safety, and eligibility.
You are responsible for maintaining active enrollment if you wish to continue receiving care and for securing appropriate alternative or local medical care if your enrollment ends or is not renewed. You agree not to rely on this platform for care outside an active enrollment period.
Clinical Discretion & No Guarantee of Outcomes
Enrollment or payment does not guarantee access to any specific evaluation, treatment, prescription, or clinical recommendation.
All medical care is provided at the sole discretion of the treating physician based on clinical judgment, safety, and appropriateness.
No guarantee is made regarding continuity of care beyond the enrollment period or any clinical outcome, including treatment success, symptom improvement, or disease control.
Expiration & Transition of Care
You may receive advance notice of upcoming plan expiration and an opportunity to renew enrollment or arrange alternative care.
A lapse in enrollment may result in interruption of care, including modification or discontinuation of treatment.
PSC may, at its discretion and when clinically appropriate, provide limited transitional support (such as short-term guidance or prescription continuation). This does not extend or renew the care relationship.
PSC will provide access to medical records and reasonable transition support as required by applicable law. You remain responsible for securing ongoing care.
Administrative Communications
Administrative communications, including expiration reminders and renewal notices, may be delivered through the Vanpoint Health platform and will be deemed delivered by PSC.
6. Scheduling, Submissions, & Review Policy
Timely and complete submission of required information is essential for safe and effective care.
You acknowledge and agree that:
Required information must be submitted by designated deadlines to maintain scheduled reviews
Incomplete, late, or missing submissions may result in delayed or canceled reviews
Missed submissions or late changes may result in forfeited review opportunities or additional fees
Physician time and clinical capacity are allocated in advance based on scheduled reviews
Missed, late, or incomplete submissions do not extend the enrollment period unless PSC expressly agrees in writing.
You accept responsibility for any delays, limitations in care, or missed review opportunities resulting from incomplete or untimely submissions.
7. Prescriptions & Medication Policy
Prescriptions are issued only during an active enrollment period and at the sole discretion of the treating physician. Prescriptions, refills, renewals, and prior authorizations will not be provided outside of an active enrollment period.
Clinical Use & Monitoring
You acknowledge and agree that:
All medications carry risks, side effects, and potential complications
Certain medications may require ongoing monitoring, including laboratory testing, imaging, or in-person evaluation, which may not be supported through this platform
PSC is not obligated to prescribe, refill, renew, or pursue prior authorization for any medication when clinical, safety, monitoring, or enrollment requirements are not met.
Prescription issuance, refills, monitoring requirements, laboratory requests, and treatment continuation remain solely at clinician discretion.
Certain medications may require periodic follow-up reviews, laboratory monitoring, in-person evaluation, or additional safety assessment before continuation.
Your Responsibilities
You are responsible for:
Promptly reporting side effects, complications, or concerns
Completing any recommended monitoring or follow-up care
Seeking in-person or urgent medical care when clinically indicated
Failure to follow clinical guidance or obtain recommended monitoring may increase the risk of adverse outcomes.
Costs & Access
Medication costs, insurance coverage, pharmacy access, and fulfillment are solely your responsibility.
8. Off-Label Use & Insurance Acknowledgment
Off-Label Use
You acknowledge and agree that:
Physicians may recommend medications for off-label use consistent with accepted medical practice
Off-label use means a medication is used outside its FDA-approved labeling
Such use is a standard component of medical care, and associated risks and outcomes may be less predictable
Insurance & Coverage
You further acknowledge that:
Insurance coverage for off-label or recommended treatment is not guaranteed and is determined by third-party payors outside the control of PSC.
9. Communication, Response Times, & Access
All communication occurs through structured, platform-based processes.
Communication Model
You acknowledge and agree that:
Administrative requests must be submitted through designated platform channels
Medical evaluation occurs only through structured case reviews
Messaging is not a substitute for medical evaluation
Portal messaging is intended primarily for administrative coordination, logistics, clarification requests, and limited follow-up communication at clinician discretion.
Uploading photos, documents, or messages alone does not trigger medical review unless submitted through the required structured review process.
This platform does not support real-time interaction, and messages may not be reviewed immediately.
Response Times
Response times are not immediate and are an inherent part of the asynchronous care model.
You understand that:
Typical response times are approximately 3–5 business days
Complex cases may require additional time
Multiple or duplicate submissions do not accelerate review
No Urgent or Emergency Care
This platform is not continuously monitored and does not provide urgent or emergency medical care.
You agree:
Not to rely on this platform for time-sensitive or urgent concerns
To seek immediate in-person medical care when clinically appropriate
New symptoms, worsening conditions, medication changes, treatment failures, or requests requiring medical decision-making may require submission of a structured follow-up review.
Patients experiencing severe symptoms, rapidly worsening conditions, signs of infection, breathing difficulty, chest pain, suicidal thoughts, or other potentially emergent conditions should immediately seek local emergency or urgent medical care.
Because communication and clinical review occur asynchronously, delays in response may occur and should never delay urgent, emergent, or in-person medical evaluation.
To the fullest extent permitted by law, PSC are not liable for adverse outcomes resulting from a failure to seek timely in-person care.
10. Privacy, HIPAA, & Health Information
PSC complies with applicable privacy laws, including HIPAA. Because Vanpoint Health is PSC’s DBA, it is not a separate business associate. PSC may engage third-party technology and service vendors that act as business associates when applicable and are subject to appropriate written agreements.
Roles & Responsibilities
PSC, including when operating under the Vanpoint Health name, is the healthcare provider responsible for medical care and medical records
Protected Health Information (PHI) may be used for treatment, payment, and healthcare operations in accordance with applicable law.
Security & Limitations
You acknowledge that:
Electronic systems carry inherent risks, including unauthorized access, data breach, or transmission failure
PSC implement reasonable safeguards but cannot guarantee absolute security
To the fullest extent permitted by law, PSC are not liable for unauthorized access or data breaches beyond their reasonable control.
11. Technology, Cybersecurity, & Platform Risk
Care is delivered through electronic systems that rely on internet connectivity, digital transmission, and third-party infrastructure.
System Risks
You acknowledge and accept that:
No electronic system can be guaranteed to be completely secure
Unauthorized access, data breaches, system failures, and cybersecurity incidents may occur despite reasonable safeguards
Delays, interruptions, or data loss may impact care delivery
PSC implements commercially reasonable safeguards and requires appropriate safeguards from applicable vendors, but no electronic system can be guaranteed absolutely secure.
Limitation of Liability
To the fullest extent permitted by law, PSC are not liable for damages arising from:
Cybersecurity incidents or data breaches beyond reasonable control
Unauthorized access resulting from compromised credentials
Failures or disruptions of third-party systems, networks, or vendors
Technical interruptions affecting platform availability or performance
PSC are not responsible for outages, latency, data loss, or access interruptions caused by third-party vendors, networks, hosting providers, payment processors, or patient-side technology.
Your Responsibilities
You are responsible for:
Maintaining the security of your account credentials
Using secure devices and networks when accessing the platform
12. Geographic, Licensure, & Patient Location Requirements
Medical care is provided only when you are physically located in a state where the treating physician is appropriately licensed at the time of clinical review.
Location Accuracy
You acknowledge and agree that:
You are solely responsible for accurately representing your physical location at the time of submission
Your reported location must reflect your actual physical presence—not your mailing or billing address
PSC rely on your representations and do not independently verify location
Services may only be provided when the patient is physically located in a state in which the treating physician is licensed at the time clinical services are rendered or reviewed.
Licensure Limitations
You understand that:
Care may be delayed, modified, withheld, or terminated if licensure requirements cannot be met
Clinical services, including treatment recommendations and prescriptions, may not be provided in non-eligible jurisdictions
Your Obligations
You agree to:
Notify PSC through the Vanpoint Health platform of any change in location that may affect licensure compliance
Refrain from submitting information for clinical review from jurisdictions where care cannot legally be provided
Responsibility & Limitation of Liability
You acknowledge that compliance with state licensure laws is required for the provision of care and that inaccurate or incomplete location information may affect the safety and legality of services.
To the fullest extent permitted by law:
You accept responsibility for consequences arising from inaccurate location information or submission from non-eligible jurisdictions
PSC are not liable for delays, limitations, or inability to provide care due to licensure or regulatory restrictions
PSC may decline, pause, or terminate care if licensure, regulatory, or patient-location requirements cannot be confirmed
13. Clinical Judgment, Risks, & Assumption of Risk
All medical care provided through Precision Specialty Care, PLLC (PSC) is based on the independent professional judgment of the treating physician, exercised in accordance with applicable standards of care.
Clinical Judgment & Variability
You acknowledge and agree that:
Medical decision-making is complex and may involve multiple reasonable diagnostic and treatment approaches
Clinical recommendations are based solely on the information available at the time of review, which may be incomplete, evolving, or limited by the digital care model
The absence of in-person evaluation, physical examination, and real-time interaction may limit the ability to assess, diagnose, or monitor certain conditions
You further understand that:
Responses to treatment vary between individuals
Medical conditions may evolve unpredictably
Treatment plans may require modification, escalation, or discontinuation over time
Risks of Treatment & Digital Care
You acknowledge that all medical care carries inherent risks, including but not limited to:
Adverse medication effects or allergic reactions
Lack of response or incomplete response to treatment
Disease progression despite treatment
Unanticipated side effects or complications
You further acknowledge that:
Certain risks may not be foreseeable
Recommended monitoring may not be fully achievable within a digital care model
Some conditions require in-person evaluation, testing, or procedures not available through this platform
With respect to digital care, you understand that:
Diagnostic accuracy may be reduced due to reliance on submitted information
Image quality and representation may affect clinical interpretation
Subtle or evolving findings may not be detectable
Delays between submission and review may affect clinical responsiveness
You agree that these inherent risks and limitations may contribute to outcomes and do not, by themselves, constitute a deviation from the standard of care.
No Guarantee of Outcomes
No guarantee or warranty is made or implied regarding:
Diagnosis or diagnostic accuracy
Treatment effectiveness or speed of response
Symptom improvement, disease control, or prevention of complications
Any specific clinical outcome
Enrollment in care does not guarantee improvement, remission, or cure.
Assumption of Risk & Physician Discretion
You acknowledge that participation in this care model is voluntary and that you accept:
The inherent risks of medical treatment
The limitations of asynchronous digital care
The treating physician retains full discretion to:
Modify, decline, or discontinue treatment
Recommend in-person evaluation
Determine that continued care within this model is not clinically appropriate
14. Patient Attestation, Accuracy of Information, & Shared Responsibility
You affirm and represent that:
You are the individual receiving care and are legally authorized to consent
All information, medical history, and images you submit are accurate, complete, and not misleading
You will not submit information on behalf of another individual without proper authorization
You agree not to omit information that a reasonable patient would understand may be relevant to care.
Accuracy & Clinical Reliance
You acknowledge and agree that:
Clinical decisions rely on the accuracy and completeness of the information you provide
Inaccurate, incomplete, or delayed information may result in incorrect diagnosis, inappropriate treatment, or adverse outcomes
Your Responsibilities
You agree to:
Provide complete and truthful information at all times
Promptly update your physician regarding changes in symptoms, medications, or health status
Submit clear, current, and representative images when requested
Review communications and treatment plans in a timely manner
Follow medical recommendations or notify your physician if you are unable or unwilling to do so
Maintain access to local healthcare providers for urgent, emergency, or in-person care
Shared Responsibility
You acknowledge that you share responsibility for the safety and effectiveness of your care.
To the fullest extent permitted by law, you accept responsibility for risks arising from:
Inaccurate or incomplete information
Failure to follow medical guidance
Delayed communication
Failure to seek appropriate in-person care
Patient Responsibilities & Care Limitations
You agree that:
You are responsible for promptly reporting new, worsening, or concerning symptoms
You will seek in-person evaluation when advised or when clinically appropriate
You will not rely on this platform for urgent, emergent, or rapidly changing conditions
15. Patient Conduct, Platform Use, & Termination
You agree to use the Vanpoint Health platform in a respectful, lawful, and appropriate manner consistent with safe care delivery.
Prohibited Conduct
You agree not to:
Use abusive, threatening, harassing, discriminatory, or inappropriate language
Submit false, misleading, fraudulent, or intentionally incomplete information
Attempt to improperly influence clinical decision-making, including inappropriate requests for prescriptions
Use the platform for non-medical, commercial, or unauthorized purposes
Upload inappropriate, offensive, or irrelevant content
Impersonate another individual or allow unauthorized account use
Circumvent platform processes, safeguards, or care structure
Platform Integrity & Enforcement
You acknowledge that inappropriate conduct may interfere with safe care delivery and compromise clinical decision-making.
PSC reserves the right, consistent with applicable law and patient safety considerations, to:
Limit, suspend, or terminate access to the platform
Decline to provide or continue care
Delay or restrict services as necessary for safe operations
Report unlawful or threatening conduct to appropriate authorities
Where required, actions will be taken in a manner intended to support reasonable continuity of care.
Continuation of Care
Continued participation is contingent upon compliance with this Agreement. Failure to adhere to platform rules, communication standards, or care expectations may result in discontinuation of services.
16. Medical Records, Documentation, & Use of Information
Medical records are created and maintained by Precision Specialty Care, PLLC (PSC) as part of standard clinical documentation.
Nature of Medical Records
You acknowledge and agree that:
Medical records are created for clinical, legal, and regulatory purposes and may differ from simplified or patient-facing summaries
Documentation reflects physician judgment, medical necessity, and applicable standards
Records may include clinical impressions, differential diagnoses, and evolving assessments over time
Access & Amendments
You understand that:
Access to medical records will be provided in accordance with applicable law and within reasonable administrative timeframes
Requests to amend records are not guaranteed and must comply with legal and clinical documentation standards
Use & Interpretation
To the fullest extent permitted by law:
PSC is not liable for patient misunderstanding or interpretation of medical records
Differences between clinical documentation and patient-facing summaries do not necessarily indicate error or misrepresentation.
PSC is not responsible for how records are used or interpreted by third parties, including insurers or other providers
17. Refund Policy
All fees paid to Precision Specialty Care, PLLC (“PSC”) are final and non-refundable, to the fullest extent permitted by applicable law.
Nature of Fees
You acknowledge and agree that payment is for:
Allocation of physician time and clinical review capacity
Professional expertise, clinical judgment, and care planning
Administrative, operational, and coordination services
These services are committed upon enrollment, regardless of utilization.
You agree that access to the platform and allocation of clinical resources constitute substantial performance of services.
Fees are charged for physician time, professional review, longitudinal care infrastructure, coordination services, administrative support, and participation in the care model itself, not for any guaranteed clinical outcome.
Clinical improvement, insurance approval, medication access, symptom control, or treatment success cannot be guaranteed
No Guarantee of Outcomes
Medical care involves uncertainty, and outcomes cannot be predicted or guaranteed.
Payment is not contingent on clinical success, improvement, or satisfaction. Dissatisfaction with care or outcomes does not constitute grounds for a refund.
Initiation of Services
Services are considered initiated upon the earliest of:
Completion of enrollment and payment
Submission of intake information
Scheduling or allocation of a structured review
Access to the platform
Once services are initiated, no refunds, credits, or prorations will be issued.
Non-Refundable Circumstances
Refunds will not be provided, including for:
Insurance denial, coverage issues, or reimbursement outcomes
Ineligibility for medications or required prior authorization
Failure to achieve desired results or dissatisfaction with care
Partial use or non-use of services
Missed submissions, delays, or incomplete participation
Failure to follow medical recommendations
Determination that the care model is not appropriate after enrollment
Technical issues outside the control of PSC
Termination of services for violation of this Agreement
Platform Access & Administrative Commitment
Access to the platform and allocation of physician and administrative resources constitute delivered services and are not reversible or dependent on participation.
Chargebacks & Payment Disputes
You agree not to initiate chargebacks or payment disputes based on dissatisfaction, outcomes, insurance determinations, or non-use of services.
Any attempt to reverse or dispute a payment after services have been initiated constitutes a breach of this Agreement.
In such cases:
PSC may suspend or terminate services
You remain responsible for the full amount owed
PSC may pursue recovery of associated costs and fees, to the extent permitted by law
No Exceptions
Except where required by applicable law, no refunds, credits, or exceptions will be made.
Acknowledgment
By enrolling, you acknowledge and agree that:
You have read and understand this refund policy
You accept full financial responsibility for services
Payments are final and not contingent on insurance, outcomes, or service utilization
18. Insurance & Payment Disclosure
All medical services are provided by Precision Specialty Care, PLLC (“PSC”). All payments are made directly to PSC, which operates on a self-pay basis and does not accept, bill, or participate with insurance.
Self-Pay Responsibility
You are solely responsible for all fees associated with care, regardless of insurance status.
Payment is required in full at the time of enrollment or as otherwise specified.
No Reliance on Insurance
You acknowledge and agree that:
You are not relying on insurance coverage when enrolling in care
Services provided may be considered non-covered by your insurer
You accept full financial responsibility regardless of insurance outcomes
Insurance & Coverage Limitations
Insurance coverage for medications, laboratory testing, or any recommended services is not guaranteed.
Coverage determinations—including prior authorization, step therapy, denials, and reimbursement—are made solely by third-party payors. PSC have no control over these determinations.
Denial of coverage does not entitle you to a refund of any fees paid.
Medication & Third-Party Costs
Medications, laboratory testing, and other third-party services are not included in enrollment fees.
You are responsible for all associated costs, including prescriptions, pharmacy services, and testing, regardless of insurance coverage or approval.
PSC do not guarantee that any recommended treatment will be covered, affordable, or accessible.
No Insurance Services
Unless explicitly stated otherwise:
PSC does not submit insurance claims
PSC does not provide insurance claim-submission or reimbursement services except as expressly stated
Prior authorization and manufacturer assistance support may be offered as an administrative courtesy when feasible, but approval, coverage, timing, and outcomes are not guaranteed
Reimbursement for any services or recommendations is not guaranteed
Patients remain financially responsible for medications, laboratory testing, specialist referrals, and third-party services regardless of insurance determinations
Payment Finality & Authorization
To the fullest extent permitted by law:
All payments are final and non-refundable
You agree not to initiate chargebacks or payment disputes based on dissatisfaction, insurance outcomes, or service expectations
By providing payment information, you authorize PSC to:
Charge applicable fees for services
Process payments using the method provided
Apply any disclosed administrative fees
Financial Disputes
Financial disputes do not entitle you to continued care, refunds, or modification of services.
Non-payment or attempted reversal of payment may result in suspension or termination of services. All disputes must be resolved in accordance with the dispute resolution provisions of this Agreement.
Unified Entity and Brand
All medical and non-medical services described in this Agreement are provided by PSC, directly or through its personnel and vendors. “Vanpoint Health” is solely PSC’s DBA and patient-facing brand; it is not a separate company, contracting party, or service provider.
19. Account Security & Attribution
You are solely responsible for maintaining the confidentiality and security of your account credentials, including usernames, passwords, devices, and access methods.
Authorized Use
You acknowledge and agree that:
All activity conducted through your account is presumed to be authorized by you
Communications submitted through your account may be relied upon for administrative and clinical decision-making
You will not share credentials or permit unauthorized access to your account
PSC may rely on submissions made through your account unless notified of unauthorized access.
Identity & Responsibility
You understand that PSC cannot independently verify the identity of any individual accessing your account beyond the credentials provided.
To the fullest extent permitted by law:
You are responsible for any misuse, unauthorized access, or fraudulent activity associated with your account, except to the extent directly caused by PSC’s willful misconduct
PSC are not liable for:
Unauthorized access resulting from compromised credentials
Actions taken based on information submitted through your account
Damages arising from identity misrepresentation or account misuse
You agree to promptly notify PSC through the Vanpoint Health platform of any suspected unauthorized access or security breach.
20. Limitation of Liability
To the fullest extent permitted by applicable law, Precision Specialty Care, PLLC, doing business as Vanpoint Health (“PSC”), including its physicians, owners, employees, contractors, agents, and affiliates, shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to:
Use of or inability to use the platform
The inherent limitations of asynchronous digital care
Delays in communication, response, or care delivery
Incomplete, inaccurate, or delayed information provided by you
Failure to follow medical advice or treatment recommendations
Failure to seek appropriate in-person or emergency medical care
Adverse medical outcomes, disease progression, or lack of improvement
Insurance coverage determinations or medication access limitations
Technology failures, cybersecurity incidents, or third-party system disruptions
Cap on Liability
To the fullest extent permitted by law, any claim arising out of or related to this Agreement or the services provided shall be limited to the total amount paid by you to PSC for medical services during the twelve (12) months preceding the event giving rise to the claim.
Acknowledgment of Risk
You acknowledge that medical care involves inherent uncertainty and that digital care models introduce additional limitations. Outcomes cannot be guaranteed.
You agree that the limitations and risks inherent to this care model may contribute to outcomes and do not, by themselves, constitute a breach of the standard of care.
Scope of Limitation
These limitations apply regardless of the legal theory asserted, whether in contract, tort, or otherwise.
Nothing in this section limits liability to the extent such limitation is prohibited by applicable law.
21. Binding Arbitration, Class Action Waiver, & Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to this Agreement, the services provided, or the relationship between the parties shall be resolved exclusively through binding arbitration, except where prohibited by applicable law.
Arbitration shall be the exclusive remedy for any dispute, except where prohibited by law.
The parties agree that arbitration is a material term of this Agreement
Agreement to Arbitrate
You and PSC knowingly and voluntarily waive the right to bring claims in court or to have disputes decided by a judge or jury.
Scope of Arbitration
This agreement to arbitrate applies to all claims, including, without limitation, medical, contractual, tort, statutory, privacy, and technology-related claims.
Class Action Waiver
All disputes must be brought on an individual basis. You waive any right to participate in a class, collective, or representative action.
Pre-Arbitration Resolution
Before initiating arbitration, you agree to provide written notice of the dispute and allow at least thirty (30) days for good-faith resolution.
Arbitration Process
Arbitration shall be conducted in accordance with the rules of the American Arbitration Association (AAA) or a comparable arbitration body. Proceedings may be conducted remotely, at the discretion of the arbitrator.
Time Limitation
To the fullest extent permitted by law, any claim must be brought within one (1) year from the date it arises or it will be permanently barred.
Severability
If any provision of this section is found unenforceable, the remaining provisions shall remain in effect. If the class action waiver is deemed unenforceable, this arbitration section shall be modified only to the extent necessary.
22. Governing Law, Venue, & Legal Enforcement
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles.
Venue & Jurisdiction
To the extent any dispute is not subject to arbitration, it shall be brought exclusively in the state or federal courts located in Collin County, Texas, or the federal judicial district encompassing Collin County, as applicable. You consent to the jurisdiction of such courts and waive any objection to venue or forum.
Enforcement & Waiver
Failure by PSC to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other rights.
Severability
If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior or contemporaneous communications, representations, or agreements.
23. Survival of Terms
Any provisions that by their nature should survive termination or expiration of the care relationship shall remain in effect, including but not limited to:
Payment obligations and financial terms
Limitation of liability
Arbitration, dispute resolution, and class action waiver
Governing law and venue
Platform use restrictions, disclaimers, and acknowledgments
Termination, expiration, or lapse of enrollment does not affect any rights or obligations that have accrued or are intended to survive.
You acknowledge and agree that these provisions remain binding regardless of the reason for termination.
